Welcome to NovelChat. These Terms of Use ("Terms") are a legal agreement between you ("User" or "you") and Grandzero LLC ("Grandzero," "we," "us," or "our"), a Wyoming limited liability company located at 1021 E Lincolnway Suite #8147, Cheyenne, Wyoming 82001, United States.

By accessing or using novelchat.app, our mobile apps, or any services provided through our platform (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Overview of the Service

NovelChat allows users to engage with AI-powered fictional character simulations for entertainment, creative writing, and interactive storytelling. Some features may require account creation or payment. The Service is continuously evolving, and features may be added, modified, or removed at our discretion.

2. Eligibility

To use the Service, you must:

• Be at least 13 years old (or older if required by your local jurisdiction),
• Have the legal capacity to enter into a binding agreement,
• Not be barred from using the Service under any applicable law,
• Agree to use the Service in compliance with these Terms and all applicable regulations.

If you're under the age of majority in your region, you must have permission from a parent or legal guardian.

3. Account Registration

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, complete information,
• Keep your login credentials secure,
• Notify us immediately of any unauthorized use,
• Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate your account if we suspect any fraudulent, abusive, or unlawful activity.

4. Subscription and Payment

Some features are only available to paid users. We use Stripe for secure payment processing.

• Subscriptions are billed monthly or annually, depending on the plan.
• Payments are non-refundable except as required by law or explicitly stated.
• You can cancel your subscription at any time; cancellation will take effect at the end of your billing cycle.
• Grandzero LLC reserves the right to change pricing with advance notice.

5. Acceptable Use

By using the Service, you agree not to:

• Violate any applicable law,
• Use the Service for harmful, abusive, discriminatory, or sexually explicit content,
• Attempt to reverse-engineer, scrape, or exploit the Service,
• Interfere with or disrupt the integrity or performance of the Service,
• Mislead others by impersonating someone or something you're not,
• Upload malware or harmful code.

Grandzero reserves the right to review and moderate user content to ensure compliance with these standards.

6. User Content

You may input text, upload prompts, and create content (collectively, "User Content") as part of your interactions. You retain all rights to your User Content.

By submitting User Content, you grant Grandzero a non-exclusive, worldwide, royalty-free license to host, store, and process your content solely to operate and improve the Service.

You are solely responsible for the legality, reliability, and appropriateness of any content you provide.

7. AI Interactions

The Service uses third-party AI APIs (e.g., OpenAI, Anthropic) to simulate fictional character dialogues. These interactions are generated responses and:

• Are fictional and do not reflect real individuals,
• May occasionally generate incorrect, offensive, or biased content,
• Should not be considered legal, medical, or professional advice.

You acknowledge the use of AI has inherent limitations and agree to use it responsibly.

8. Intellectual Property

All intellectual property rights in the Service, including the software, design, text, images, and branding (excluding User Content), belong to Grandzero LLC or its licensors.

You may not reproduce, modify, distribute, or create derivative works from any part of the Service without explicit permission.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and safeguard your personal data.

10. Termination

We may suspend or terminate your account and access to the Service at our discretion, with or without notice, if:

• You breach these Terms,
• You engage in abusive or illegal behavior,
• We decide to discontinue the Service.

You may also terminate your use by deleting your account or ceasing to use the Service.

11. Third-Party Services

The Service may contain links or integrations with third-party services (e.g., OAuth providers, AI APIs, analytics tools). Grandzero is not responsible for the practices, content, or reliability of third-party platforms.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. To the fullest extent permitted by law:

• We do not guarantee uninterrupted, error-free, or secure access,
• We disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement,
• You use the Service at your own risk.

Some jurisdictions do not allow disclaimers of implied warranties, so some disclaimers may not apply.

13. Limitation of Liability

To the fullest extent allowed by law, Grandzero LLC and its affiliates will not be liable for any indirect, incidental, special, or consequential damages arising from or related to:

• Your use (or inability to use) the Service,
• Errors, omissions, or interruptions in the Service,
• Unauthorized access to your data,
• Any user content or third-party content.

Our total liability in any matter is limited to the amount you paid in the previous 6 months, or $50 USD, whichever is greater.

14. Indemnification

You agree to defend, indemnify, and hold harmless Grandzero LLC, its affiliates, directors, employees, and contractors from any claims, damages, liabilities, costs, or expenses (including attorneys' fees) arising from your:

• Use of the Service,
• Violation of these Terms,
• Infringement of third-party rights.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Laramie County, Wyoming. You consent to the personal jurisdiction of these courts.

16. Changes to These Terms

We may update these Terms at any time. When we do, we'll:

• Post the new version with the "Last Updated" date,
• Notify users through email or in-app notice if changes are material.

Continued use after the update constitutes acceptance of the revised Terms.
